Supplier Bionomic® support systems

1. The following references will be accepted as Supplier: Bionomic® support systems, Bionomic® furniture, our, us or we refers to Bionomic® support systems ABN 24718387491
Applicant:  Buyer, you, your, applicant, refers to the person/s as nominated on the account application document.

2. Our offer of trade
This agreement sets out the respective rights and obligations of you and bionomic support systems on approval of a trading account by us. Once you sign the trading account application document, you will agree to and abide by this agreement.
The applicant may not assign or transfer any of their rights or obligations without prior written consent from bionomic support systems.

3. All products will be subject to a 10% Goods and Services Tax (GST)

4. All sales are prepaid unless otherwise arranged or account facilities are current.

5. Shortages, Breakages, etc, must be notified within 24 hours of delivery, stating invoices number and date of delivery.  Definitely no claims will be recognised after this time.

a. Claims must be made within 24 hours of receipt of goods
b. Bionomic® Furniture must be contacted by phone, e-mail or fax stating the product/s you wish to return and the reason why. If approved by Bionomic® furniture you will be given a return number.
c. The return number and invoice number must accompany any returned goods otherwise credit/replacement will definitely not be processed.
d. All returns for all products are “back to base”. That is, the freight for the return of any item (goods or warranty) is the responsibility of the purchaser.
e. All credits or replacements will be given at the discretion of Bionomic® furniture.
f. If any goods are returned under warranty and are found to have been tampered with, this will immediately void the warranty.
g. No returns will be accepted or examined without an invoice number.
h. 10% handling fee will apply to return.

6. Every effort is made to ensure safe transportation of goods; however, we accept no responsibility for damage, loss, or breakage in transit. Goods are dispatched at consignees’ risk once delivered to carriers, and all claims should be directed to the carrier concerned.

7. Prices are subject to change without notice.

8. 10% handling fee applies to return goods.

9. Goods remain the property of Bionomic® furniture until payment is cleared.

10. We reserve the right to cancel/change present credit facilities on overdue accounts.

11. A fee of $30.00 plus GST will apply to any cheques that are dishonoured and account facilities will be reviewed.

12. Any person purchasing from us accepts these terms by placing an order.

13. A finance charge of 1.5% per month will be applied to accounts over 30 days.

14. Payment methods: The applicant acknowledges that Bionomic® furniture accepts payments by means of:
Cheque, Direct Deposit or credit card (visa, mastercard, bankcard)
Cheque – Payments by cheque will be deemed, paid, when presented as cleared funds. Please allow 3 to 5 working days.

Direct Deposit – please note, payments by direct deposit may not present until the next business day. All direct deposit payments made via a banking institution (excluding internet banking) must be notified to us by way of receipt showing:
- Date deposited, payment amount, payee information ( business name & contact name).

Credit card (visa, mastercard, bankcard)- All credit card payments must be authorised by the applicant in writing. Please ask our office for an authorisation form (written request) to allow for (a) a one off charge, (b) a one off charge or ongoing charge as per phone, e-mail, and fax authorisation by a person/s nominated by you. Your ongoing written authorisation will be kept on file until cancelled by you. (c) Monthly charges as per balance of statement.

15. Default Account
We may re-take possession of any goods or associated charges, not paid for in full , by entering the applicant’s premises or vehicle/s without liability for trespass or any resulting damage. This includes those premises or vehicle/s of an associate company or agent where the goods are stored or displayed and where we believe there are reasonable grounds to expect that we may find goods in whole or in any part, within. We may keep or re-sell these re-possessed goods at our discretion.
If the Applicant has sold all goods and does not present payment on request from the Supplier, we will take action against the applicant.

A deposit of 20% will be required for orders over $1000.00 before order can proceed.

16. Changes to your business structure / Ownership etc.
All changes to the applicant’s business structure and ownership must be notified to Bionomic® furniture. Other changes to your business and personal details e.g. change of name/s address/s and contact numbers (phone/fax/email) must be notified to us in writing immediately and prior to your next order.

17. Request for credit terms
If Applicant has nominated a request for credit terms as pursuant to the account application document, the applicant must complete all information requested. The Applicant acknowledges that Bionomic® furniture may from time to time request new and/or updated credit references and contact these referees accordingly. This also pertains to ALL new requests from the customer for extended credit terms, including credit limits.
Subsequent to the above, the applicant may choose to close their Trading Account with the supplier and must notify the supplier in writing. The Applicant acknowledges that any remaining debt on their account must be paid for in full immediately.

18. Breach
Any breach, of this agreement may lend cause for Bionomic® furniture to suspend or forfeit credit facilities without notice and/or close your account. The customer may be required to trade on “pre-payment” basis, until, at the discretion of Bionomic® furniture credit facilities are re-instated.

19. General
If you are aware of any unauthorised or fraudulent transaction or behaviour pertaining to your account, you must tell us immediately. You are liable for these activities.

20. Authority to the supplier under the Privacy Act.
1. In order to assess this application and if it is approved, to establish and manage the Applicants credit facilities, the supplier needs to : (a) collect personal information about the Applicant in the Application attached and from other sources (b) obtain the applicants agreement in relation to handling this personal information.
2. If the applicant does not provide the information requested or give agreement to the handling of this personal information, the supplier may decline the applicant’s application.
3. Subject to the privacy act, the applicant, by the execution of this application agrees that the supplier might disclose personal information to credit reporting agencies.
4. Subject to the privacy act, by the execution of this application, the applicant authorises the supplier to give and obtain from credit providers named in this application and credit providers that may be named in credit report issued by a credit reporting agency, personal information about the applicant’s credit arrangements including, without limitation, information about the applicants credit worthiness, credit standing, credit history or credit capacity.
